And those who do startups know very well that it is stimulating work, which brings countless satisfactions but sometimes requires, quoting Churchill, blood, toil, tears and sweat.<\/p><p class=\" translation-block\">It is precisely in those difficult times that the ability of co-founders to be united makes the difference between those startups that make it and those that inevitably end up closing their doors. The situations can be many, such as when budgets run out, sales fail, deals with investors are not closed, a new solution from some competitor pops up that eclipses the startup's product, and so on.<\/p><p>Beware, however, not only these situations require the energy of the co-founders.<\/p><p class=\" translation-block\">They are often the soul of the startup (especially in its early and stormy stages): if a piece of this soul leaves, then the entire project may be in danger. Consider a founder who quits because he or she founds a new startup, receives a job offer, or intends to devote time to family (perhaps by moving abroad).<\/p><p class=\" translation-block\">All of this makes it clear how important it is for the co-founders, the startup, investors, and possible employees that the founders get their act together at day zero (often even before setting up the company) by signing a so-called co-founder agreement that defines all those aspects of their relationship that may affect the implementation of the project.<\/p><p class=\" translation-block\">Turning to an experienced startup lawyer to draft the co-founder agreement is not only a way to prevent possible future problems but, as we shall see, is a useful asset in determining the viability of the startup and providing any investors with additional guarantees (which makes it, <em>\u00e7a\u00e7a va sans dire<\/em>, easier to attract investment).<\/p><h5><span style=\"text-decoration: underline;\"><strong><em>What is a co-founder agreement<\/em><\/strong><\/span><\/h5><p class=\" translation-block\">This is basically a shareholders' agreement, that is, a pact between the partners or future partners of the startup. This details the relationship of the co-founders, how and how much they participate in the project, how decisions are made, how intellectual property is managed, or how the eventuality that one or more co-founders decide to leave the project is handled.<\/p><p class=\" translation-block\">This agreement may also define the relationship between the founders in the stages before the startup is established, where the team decides to devote resources and energy to the project (e.g., with the goal of making a minimum valuable product, or MVP) but without establishing a company.<\/p><p>Let's explore further some typical contents of a co-founder agreement.<\/p><h5><span style=\"text-decoration: underline;\"><strong><em>Definition of roles and responsibilities<\/em><\/strong><\/span><\/h5><p class=\" translation-block\">A well-drafted co-founder agreement clearly defines the roles and responsibilities of each co-founder within the startup. This helps avoid confusion and misunderstandings in the future and ensures that each team member knows exactly what his or her responsibilities are.<\/p><p>These clauses are particularly important in the early stage of project construction to stimulate founders to give their best even at a time when neither they are paid nor the team has yet raised investment.<\/p><p>Moreover, in many cases the absence of accountability of team members has a significant impact on the project in terms of difficulty and inefficiency.<\/p><h5><span style=\"text-decoration: underline;\"><strong><em>Division of equity<\/em><\/strong><\/span><\/h5><p class=\" translation-block\">One of the first questions co-founders are asked to answer when creating a startup is just how to divide the shares.<\/p><p>There are several approaches to identifying a method of dividing shares among the founders. Whatever division of shares the team agrees on, the opportunity to crystallize that decision in the co-founder agreement avoids misunderstandings among the members before the company is formed.<\/p><p class=\" translation-block\">In addition, terms and conditions for the allocation of shares to the team are typically identified in the agreement (e.g., so-called vesting mechanism).<\/p><h5><strong><em><span style=\"text-decoration: underline;\">The vesting mechanism<\/span> <\/em><\/strong><\/h5><p class=\" translation-block\">This is a system that is usually adopted to incentivize co-founders to work on the startup and limit the negative effects in the event that a founder decides to leave the project. Indeed, the negative consequences of having a co-founder leave the team while retaining a rather large share of the company (among many others, the difficulty of attracting investment and motivating the remaining team members) are well known by anyone involved in startups.<\/p><p class=\" translation-block\">The vesting system basically consists of the gradual vesting of the founding partners' shares so that if one of the founders leaves the team before the expiration of the vesting period, he or she will own only the share that has already vested, with a corresponding obligation to sell the part of the share that has not vested to the other partners at face value (so-called reverse vesting).<\/p><p class=\" translation-block\">Establishing a vesting mechanism and related conditions and obligations in the co-founder agreement can not only serve to protect the startup's interests in the event that a co-founder leaves the company prematurely, but also to make the startup more attractive to investors (especially in the early stages of vision).<\/p><h5><span style=\"text-decoration: underline;\"><strong><em>Resolution of disputes and exit of a co-founder<\/em><\/strong><\/span><\/h5><p class=\" translation-block\">The co-founder agreement should also include detailed provisions for resolving disputes between co-founders and procedures for dealing with the exit of a member from the team.<\/p><p>This helps manage any conflicts effectively and avoid damaging disputes that could put the startup at risk.<\/p><p class=\" translation-block\">Typically, the agreement distinguishes between good leaver situations - such as cases of termination by mutual consent, resignation for cause, retirement, removal from the board without cause - and bad leaver situations, such as removal from the board for cause, dismissal for cause, or resignation for reasons other than retirement or cause.<\/p><p class=\" translation-block\">Usually, in the former case, the departing shareholder retains the share already accrued (see reverse vesting mechanism), while, in the latter case, he or she is required to transfer to the remaining shareholders at par value the entire share he or she holds.<\/p><h5><span style=\"text-decoration: underline;\"><strong><em>Protection of intellectual property and confidentiality<\/em><\/strong><\/span><\/h5><p class=\" translation-block\">An often overlooked but vital aspect of the co-founder agreement is the protection of intellectual property and confidentiality.<\/p><p>This includes agreements on the ownership of patents, trademarks and copyrights developed during the course of the startup's activities, as well as measures to ensure the confidentiality of the company's sensitive information.<\/p><h5><span style=\"text-decoration: underline;\"><strong><em>Conclusion<\/em><\/strong><\/span><\/h5><p>Finally, there are additional clauses that can be included in this agreement, such as those related to the roles and responsibilities of individual members, the decision-making mechanism, or the compensation that will accrue to team members.<\/p><p class=\" translation-block\">Overall, it is clear how a well-drafted co-founder agreement is often essential to the success and sustainability of a startup.
